Acceptance of these terms

These Terms of Service (“Terms”) govern your use of NotePal’s iOS app, web app, and website (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use NotePal on behalf of an organization, you represent that you are authorized to accept these Terms for it.

The service

NotePal turns sources you provide — live recordings, audio and PDF files, YouTube links, and text — into study notes, mind maps, quizzes, and flashcards. Generated material is produced by automated systems and may contain errors; it is a study aid, not a substitute for your own judgment or for professional, medical, legal, or academic advice.

Your account

• You must provide accurate information and be at least 13 years old (16 in some regions).
• You are responsible for activity under your account and for keeping your credentials secure.
• One account is for one person. Accounts may not be shared, sold, transferred, or resold.
• Notify us promptly of any unauthorized use of your account.

Acceptable use

You agree not to:

• use the Service for anything unlawful, infringing, or harmful;
• upload content you don’t have the right to use, or that violates others’ intellectual property or privacy;
• attempt to break, overload, reverse-engineer, or circumvent the security, rate limits, or access controls of the Service;
• resell, sublicense, or commercially redistribute the Service or its output without our written permission; or
• interfere with other users’ fair access to the Service.

No bots, scrapers, or automated access

You may not, and may not permit anyone or anything to:

• use bots, scripts, crawlers, spiders, scrapers, headless browsers, or any other automated means to access, register for, query, or use the Service;
• extract, scrape, harvest, or copy data, content, or output from the Service in bulk or for use outside your own studying;
• create accounts by automated means, or operate multiple or fake accounts;
• relay, proxy, or feed the Service to another application, model, or service; or
• circumvent or attempt to circumvent any rate limit, quota, throttle, or usage restriction.

To protect fair usage for everyone, we monitor for automated and abusive behavior. We may rate-limit, throttle, suspend, or permanently terminate any account we reasonably believe is operated by a bot, used to scrape or extract data, or otherwise used in violation of this section — at our discretion and, where appropriate, without prior notice. Legitimate accessibility tools and normal personal use are, of course, welcome.

Your content

You keep ownership of the sources you upload and the study material generated for you (“Your Content”). You grant us a limited license to host, process, transmit, and display Your Content solely to operate and improve the Service for you — including sending it to the AI processing providers described in our Privacy Policy. You are responsible for having the rights to the sources you submit.

Plans, billing & refunds

• The Free plan includes a limited number of notes per month. Pro unlocks unlimited sources, all study tools, exports, and priority processing.
• Paid subscriptions renew automatically until cancelled. You can cancel anytime; access continues until the end of the current billing period.
• For purchases made through the Apple App Store or Google Play, billing, renewals, and refunds are handled by Apple or Google under their terms.
• Prices may change; we’ll give notice of changes that affect a renewal.

App Store & Google Play terms

If you obtained the app from the Apple App Store or Google Play, your use is also subject to that store’s terms. For Apple: these Terms are between you and NotePal, not Apple; Apple has no obligation to provide support or to address any claims relating to the app; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.

Intellectual property

The Service, including its software, design, branding, and content we provide (excluding Your Content), is owned by NotePal and protected by law. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms (including the Acceptable Use and automated-access rules), if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated material will be accurate or complete.

Limitation of liability

To the maximum extent permitted by law, NotePal will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 50. Some jurisdictions do not allow these limits, so they may not fully apply to you.

Changes to these terms

We may update these Terms from time to time. When changes are material, we will update the date above and, where appropriate, notify you. Continued use after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by applicable law in the jurisdiction in which NotePal operates, without regard to conflict-of-laws rules. Nothing here limits any mandatory consumer-protection rights you have where you live.
